X Clauses (NEC Secondary Options)

The NEC X clauses are the secondary options bolted onto the core contract to tailor risk: X1 price adjustment for inflation, X7 delay damages, X12 partnering, X17 low performance damage and their stablemates.

Where it sits: NEC4 secondary options X1-X25; each is a self-contained module invoked through the Contract Data.

The core NEC is deliberately incomplete as a commercial instrument — the X options are where the parties actually allocate risk. X1 moves inflation to the employer; leave it out and the contractor carries it in price. X7 imports liquidated damages; leave it out and delay loss is unliquidated. Two NEC contracts with different X menus are different deals wearing the same badge.

In the inflation years after 2021, X1 went from rarely used to the most argued single clause in the family — proof that the quiet options become the loud ones when the market turns. Procurement strategy lives in the X list.
